(a) On 9 November 2018, ESW made a full takeover offer for all of the equity
securities in SLI ("Offer"). Confirmation of despatch of the Offer document
(along with a copy of that document) was sent to SLI, NZX and the Takeovers
Panel on 13 November 2018.
(b) Since the last disclosure dated 11 December 2018, ESW received
acceptances to the Offer for 1,393,494 shares from various shareholders of
ordinary shares in SLI.
