NOTICE PURSUANT TO RULE 49C(1) OF THE TAKEOVERS CODE
ESW Holdings, Inc. (ESW) made a takeover offer for all of the fully paid
ordinary shares (Shares), and all of the unlisted options to acquire Shares
that are subject to the terms of the share option plan, in SLI Systems
Limited (SLI) dated 9 November 2018 (Offer).
In accordance with Rule 49C(1) of the Takeovers Code, ESW advises that, as at
the date of this notice:
(a) the Offer remains subject to the conditions contained in clauses 4.1,
4.2(a) and 4.2(c) of the Offer Document;
(b) ESW has the right to waive all of the conditions listed above;
(c) to the best knowledge and belief of ESW, after making proper inquiry,
none of the conditions listed above have been satisfied or waived; and
(d) ESW has received acceptances in respect of 88.48% of the voting rights in
SLI under the Offer (rounded to two decimal places). ESW did not already hold
or control any of the voting rights in SLI.
